CAR DYNAMICS GLOBAL RESELLER AGREEMENT & TERMS By applying to and purchasing wholesale products from Car Dynamics Ltd, you agree to the following terms and conditions: 1. ELIGIBILITY & APPROVAL • The Car Dynamics Reseller Programme is open to professional detailers, automotive businesses, workshops, car clubs, and other approved organisations worldwide. • All applicants must complete the Car Dynamics NDA before wholesale pricing, discount structures, or programme details are disclosed. • Car Dynamics Ltd reserves the absolute right to approve or reject any reseller application at its sole discretion, with or without reason. • Resellers must provide accurate and up-to-date business details and notify Car Dynamics of any changes. 2. WHOLESALE PRICING & MINIMUM ORDERS • Approved resellers will receive exclusive wholesale pricing after signing the NDA and formal reseller agreement. • The minimum wholesale order is £500 GBP per order, unless otherwise agreed in writing. • All prices are stated in GBP (£) and are subject to change with reasonable notice. • Any volume-based discounts or incentives will be communicated directly to approved resellers. 3. ORDERING & PAYMENT • All orders must be placed via the approved wholesale ordering process. • Payment is required in full, in advance, for all international orders unless a separate credit agreement is pre-approved in writing. • Late or failed payments may result in order cancellation or suspension of reseller status. 4. DELIVERY, SHIPPING & RISK • For UK resellers, standard shipping rates apply unless otherwise agreed. • For international resellers, all shipments are made Ex-Works (EXW) UK: o Resellers are fully responsible for shipping costs, customs duties, import taxes, and local clearance fees in their country. o Risk of loss, delay, or damage passes to the reseller upon dispatch from the UK. • Any shortages or damages must be reported in writing within 48 hours of receipt. 5. SALES CHANNELS & TERRITORY • Resellers may sell directly to end customers, in-store, or on their own website. • Selling on Amazon, eBay, or other third-party marketplaces is strictly prohibited without prior written approval. • Approval as a reseller does NOT grant exclusive territorial rights. Car Dynamics may appoint multiple resellers within the same region or country unless a separate exclusivity agreement is signed. • Resellers are responsible for ensuring local legal compliance (e.g., chemical labelling, safety regulations) in their respective countries. 6. BRAND REPRESENTATION • Resellers must always use approved Car Dynamics product names, descriptions, images, and branding. • Products must not be rebranded, relabelled, or repackaged without written consent. • Any marketing claims or promotions must align with Car Dynamics’ official materials and must not misrepresent product performance. 7. PRICING POLICY | MINIMUM ADVERTISED PRICE (MAP) • To protect brand value, the Reseller may not advertise, promote, or publicly list Car Dynamics products below the current Recommended Retail Price (RRP) set by Car Dynamics Ltd. • This applies to websites, social media, printed advertising, in-store displays, and public promotions. • Resellers may privately offer discounts to individual customers but cannot publicly display pricing lower than the RRP. • Violation of the MAP policy may result in termination of reseller status and refusal of future supply. 8. RETURNS & WARRANTY • Defective products can be returned within 14 days of receipt for credit or replacement. • Resellers are responsible for handling all end-customer returns, complaints, and warranty claims. • Car Dynamics accepts no liability for misuse of products by the reseller or their customers. 9. LOCAL COMPLIANCE & REGULATIONS • For international resellers, it is entirely your responsibility to ensure Car Dynamics products comply with local regulations, labelling laws, and import restrictions in your country. • Car Dynamics shall not be held liable for any regulatory non-compliance outside the UK. 10. TERMINATION OF RESELLER STATUS Either party may terminate this agreement with 30 days’ written notice. Car Dynamics reserves the right to immediately terminate reseller status for: • Breaching these terms or the signed NDA • Misrepresenting the brand • Selling through unapproved channels • Non-payment of invoices • Violating the MAP pricing policy 11. LIMITATION OF LIABILITY • Car Dynamics shall not be liable for any indirect, consequential, or loss of profit resulting from resale activities. • Liability is strictly limited to the cost of the products supplied under this agreement. 12. RIGHT TO REFUSE SUPPLY Car Dynamics reserves the absolute right to refuse supply, cancel any order, or remove a reseller from the programme at its sole discretion, with or without explanation. 13. GOVERNING LAW & JURISDICTION • This agreement is governed by and construed in accordance with the laws of England and Wales. • Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales, regardless of the reseller’s country of operation. Acceptance: By applying to and purchasing from the Car Dynamics Global Reseller Programme, you acknowledge that you have read, understood, and agreed to these terms and conditions.
